Partner Terms
These partner terms govern the collaboration between De Keyser Webdesign (Duffelsesteenweg 55, 2550 Kontich, Belgium, company registration number 1040.500.093), hereinafter “we”, and the person or company referring clients to us, hereinafter “the partner”.
By signing up as a partner and referring clients, the partner agrees to these terms.
1. Participation
The collaboration starts as soon as we confirm a partner application by email. The partner then receives a personal partner code, link and QR code.
2. What counts as a referral
A client counts as referred by the partner when:
- the client contacts us through the partner's personal link or QR code;
- the client mentions the partner in our form or in the first contact; or
- the partner passes the client on to us, with the client's consent, through our referral form.
3. Amount of the referral fee
For every referred client who enters into an agreement with us, the partner receives 10% of the project amount (excl. VAT).
A fee expressed as a percentage is calculated on the amount excluding VAT that the referred client has actually paid us.
4. When the fee is due
The fee only becomes due once the referred client has paid our invoice in full. If an invoice is (partly) credited or refunded, the fee lapses to the same extent.
5. Invoicing
We let the partner know by email when a referred client has paid. The partner then sends us an invoice for the fee, and is responsible for its correct tax treatment (such as VAT and income tax).
6. Validity
The period within which a referral entitles the partner to a fee is agreed in writing together with the amount of the fee.
The collaboration itself runs for an indefinite period, until either party terminates it (see section 8).
7. No exclusivity
The collaboration is not exclusive. The partner may also work with other web designers, and we may work with other partners.
8. Termination
Either party may end the collaboration at any time in writing (email is sufficient), without notice period or compensation. Fees for referrals made before termination remain due under these terms.
9. Transparency towards the client
- The partner tells the client that they may receive a fee for the referral. We are open about this too if the client asks.
- The partner only passes on details of clients who explicitly agreed to it.
- The partner makes no promises about price, timing or results on behalf of De Keyser Webdesign.
10. Agreement with the client
The agreement for the website is concluded between the client and De Keyser Webdesign, under our terms and conditions. The partner is not a party to it and is not liable for its performance.
11. Privacy
Both parties process personal data in accordance with the General Data Protection Regulation (GDPR). How we process data of partners and referred clients is set out in our privacy policy.
12. Changes
We may amend these terms. We announce changes by email in advance; referrals made before a change remain under the previous terms.
13. Governing law
This collaboration is governed by Belgian law. Any disputes fall under the jurisdiction of the courts of the judicial district where our company is established.
14. Contact
