Terms and Conditions
These terms and conditions apply to all quotes, agreements and services provided by De Keyser Webdesign (Duffelsesteenweg 55, 2550 Kontich, Belgium, company registration number BE 1040.500.093), hereinafter “we” or “De Keyser Webdesign”, relating to web design, development, maintenance, hosting and related services provided to the client, hereinafter “the client”.
By accepting a quote or using our services, the client agrees to these terms and conditions.
1. Scope
These terms apply to every agreement between the client and us, to the exclusion of any purchasing terms of the client, unless agreed otherwise in writing.
2. Quotes and formation of the agreement
Quotes are non-binding and valid for 30 days unless stated otherwise. An agreement is formed as soon as the client accepts the quote in writing (email is sufficient), or as soon as we start work on the assignment at the client's request.
3. Price and payment
All prices are exclusive of VAT unless stated otherwise. Projects typically require a deposit at the start, with the remaining balance due upon delivery, unless agreed otherwise in the quote. Invoices are payable within 14 days of the invoice date. In case of late payment, interest of 10% per year on the outstanding amount becomes due by operation of law and without prior notice, plus a fixed compensation of 10% of the invoice amount (with a minimum of 50 euros).
4. Client cooperation
The client will timely provide the input (texts, images, feedback, access to accounts or systems) needed to carry out the project. Delays caused by late delivery of this input may shift the delivery timeline, without giving rise to any claim for damages.
5. Delivery timeline
Stated timelines are indicative and not binding, unless explicitly agreed as binding. Exceeding a timeline does not entitle the client to compensation or termination of the agreement.
6. Changes and additional work
If the client requests changes or additional features during execution that fall outside the original quote, this is considered additional work and will be billed separately, after discussion with and approval by the client.
7. Intellectual property
All intellectual property rights in designs, source code, documentation and other deliverables remain with us until the invoice for the relevant project has been paid in full. After full payment, the client receives a right of use of the delivered website for its own purposes. Underlying tools, components, templates or source code that we also use for other clients remain our property. Unless agreed otherwise, we retain the right to reference the project in our portfolio and marketing materials.
8. Hosting and maintenance
If the client takes out a hosting or maintenance contract, the specific terms and service level set out in the quote or separate contract apply. We aim for good availability of hosted websites but cannot guarantee uninterrupted availability (for example during maintenance, updates, or force majeure affecting third-party hosting partners).
9. Client portal
Clients with an active maintenance or hosting contract get access to a client portal to submit and track change requests (tickets). The client is responsible for keeping their login details confidential and for the content of the requests submitted.
10. Liability
Our liability is limited to the amount paid out under any professional liability insurance we may hold, or, failing that, to the invoice amount for the relevant assignment. We are not liable for indirect damages, such as loss of profit, loss of customers or loss of data, nor for damages caused by third parties such as hosting providers, payment providers or other external services integrated into the project.
11. Force majeure
In the event of force majeure (including outages at third-party service providers, cyberattacks, natural disasters or government measures), we are not obliged to fulfil our obligations, and performance may be suspended for the duration of the force majeure event, without any right to compensation for the client.
12. Termination
Either party may terminate an ongoing maintenance or hosting contract in writing, subject to the notice period set out in the quote or contract. In case of serious breach or non-payment, we may suspend or terminate the agreement after a notice of default that has gone unaddressed.
13. Governing law and jurisdiction
All agreements with us are governed exclusively by Belgian law. Any disputes fall under the exclusive jurisdiction of the courts of the judicial district where our company is established, unless mandatory law provides otherwise.
